M&A & Corporate Finance Advisory

The decisions that define a company are the ones it makes least often.

Selling, acquiring, financing: a company does each only a handful of times, and lives with the outcome for years. Sterling advises owner-managers on those decisions. Senior-led, independent and deliberately small, so that judgement is never delegated and attention never divided.

We are small on purpose. In this work, judgement matters more than scale, and reputation is the only capital that compounds.

You deal directly with the adviser running your transaction, from the first conversation to the day it completes. No hand-offs, no junior delivery team, no divided attention, and no incentive that is not aligned with yours. Fewer mandates, taken seriously, because a reputation is earned slowly and spent in an instant.

A deal is rarely the whole objective. These rank among the biggest decisions of an owner’s life, financial and personal both, and Sterling was built to give them the judgement, preparation and independent counsel they deserve.

What we believe

Old-fashioned about the things that still matter

The tools of this profession change constantly; the judgement behind it does not. Sterling was built on a few plain convictions that shape every piece of advice we give and, just as often, the advice we decline to give.

“A reputation is built over years and spent in an instant. We would rather keep ours than close a deal that should not happen.”

Relationships outlast transactions.

A client is not a deal. Trust is earned slowly and, once spent, does not return. We take on few mandates, so the person who wins your trust is the person who does the work, and so we are still here for the next decision, not only this one.

Risk is rarely symmetrical.

The reward from a good process is real; the cost of a bad one is worse, and harder to undo. We are careful by temperament, weigh the downside first, and would rather be right than quick.

Mastery is a habit, not a claim.

The model, the memorandum, the negotiation: done properly or not at all. Preparation is unglamorous, and it is where advice quietly becomes advantage. We sweat the detail because the detail decides it.

Working with us

What working with us actually means

A transaction is the culmination of years of effort and the start of whatever comes next. The way we work is built around getting that right.

01

Senior judgement, undivided

The person you meet is the person who does the work. Every mandate is led from first call to completion by the adviser you hired, not passed to a team learning on your transaction.

02

Candour, even when it costs us

We would rather tell you something you do not want to hear than watch a process fail for want of it. Independent counsel, transparent fees, and no conflicting mandate pulling the other way.

03

The result is in the detail

Deals are rarely won on the headline number; they are lost in diligence. We prepare every figure and every document as though it will be tested, because it will be.

04

Discretion, held tightly

Your plans, your numbers and your intentions stay private. We control who learns what, and when, protecting your business, your people and your standing throughout.

Sector focus

We know how buyers in our sectors think

Our sharpest edge is in industrials and business services: distribution, manufacturing, specialist products and the companies that keep them running. It is a fragmented, acquisitive market, well funded and consolidating.

That activity favours the well-advised seller and no one else. The best buyer is often one an owner would never have considered, sitting in an adjacent market where the synergies are real but not obvious. Knowing what buyers reward, what they quietly mark down, and where those connections hide is where the premium is won.

How we work

A clear path, calmly run

Every mandate differs, but the way we look after you does not: no surprises, no jargon, no loss of control.

01

Understand

We begin with you, the business and what a good outcome means, financially and personally, before recommending anything at all.

02

Prepare

We get the numbers, the narrative and the documents right, and address the issues a counterparty would otherwise use against you.

03

Run the process

We manage it end to end, holding parties, tension and timing in hand, so that leverage and control stay firmly with you.

04

Complete

We negotiate the terms that matter and steer heads of terms, diligence and documentation to a clean close.

Begin quietly

The best time to start the conversation is before you need to.

Whether a sale, acquisition or raise is near or years away, an early and confidential conversation is the right first step. No pressure, no obligation, complete discretion.
